It is intended to govern the contractual relationship between the service provider and the customer.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Definitions\"><\/span>Definitions<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>For the purposes of this document, the following terms have the meanings assigned to them below:<\/p>\n<ul>\n<li><strong>CLIENT<\/strong>: Any natural person contracting the services provided online by the PROVIDER.<\/li>\n<li><strong>PROVIDER<\/strong>: The entity providing the online services, identified as [[Name of Provider]].<\/li>\n<li><strong>SERVICES<\/strong>: All the services offered by the PROVIDER as described in the contract.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Main_clauses\"><\/span>Main clauses<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3><span class=\"ez-toc-section\" id=\"Obligation_of_the_Parties\"><\/span>Obligation of the Parties<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The SERVICE SUPPLIER undertakes to provide the SERVICES to the CLIENT in accordance with the terms of this contract. The CLIENT undertakes to use the SERVICES in accordance with the established conditions.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Financial_terms_consideration\"><\/span>Financial terms \/ consideration<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The CLIENT agrees to pay the SERVICE SUPPLIER the amount of [[Amount in Canadian dollars]] for the SERVICES rendered, in accordance with the payment terms specified in the contract.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Duration_and_termination\"><\/span>Duration and termination<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>This contract is entered into for an indefinite period from the date of signature. Either party may terminate the contract at any time with [[Number of days]] days&#8217; notice.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Privacy\"><\/span>Privacy<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The parties undertake to keep confidential all information exchanged under this contract and not to disclose it to third parties without prior written agreement.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Protection_of_personal_information_PIPEDA_Bill_25_in_Quebec\"><\/span>Protection of personal information (PIPEDA \/ Bill 25 in Quebec)<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The SERVICE SUPPLIER undertakes to comply with the provisions of the Personal Information Protection and Electronic Documents Act (PIPEDA) for customers outside Quebec, and Bill 25 for Quebec customers.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Liability_and_warranties\"><\/span>Liability and warranties<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The PROVIDER warrants that the SERVICES will be provided with due care and skill. The SERVICE SUPPLIER&#8217;s liability is limited to direct damage caused by gross negligence or wilful misconduct.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Force_majeure\"><\/span>Force majeure<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Neither party shall be liable for failure to perform its contractual obligations in the event of force majeure, as defined by applicable Canadian law.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Applicable_law_and_jurisdiction\"><\/span>Applicable law and jurisdiction<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>This contract shall be governed by the laws of the Province of [[Name of Province]] and the federal laws of Canada applicable therein. Any dispute shall be submitted to the jurisdiction of the competent courts of [[City]].<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Miscellaneous\"><\/span>Miscellaneous<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Clause headings are included for convenience and do not affect the interpretation of this agreement.
