Its purpose is the sale and transfer of the shares held by the GIVOR in the company [[Company name]].<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Definitions\"><\/span>Definitions<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li><strong>SELLER<\/strong>: The person or entity selling the shares.<\/li>\n<li><strong>TRANSFEROR<\/strong>: The person or entity purchasing the shares.<\/li>\n<li><strong>SHARES<\/strong>: The shares held in the company [[Company name]].<\/li>\n<li><strong>COMPANY<\/strong>: The company whose shares are the subject of the sale.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"Main_clauses\"><\/span>Main clauses<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Obligation_of_the_Parties\"><\/span>Clause: Obligation of the Parties<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The GRANTOR undertakes to assign and transfer to the TRANSFEREE, who accepts, the shares described in Appendix A. The SELLER undertakes to pay the agreed price in accordance with the terms set out in this contract.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Financial_conditions_consideration\"><\/span>Clause: Financial conditions \/ consideration<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The transfer price of the shares is set at [[Amount in figures]] [[Amount in words]] dollars [[Amount in words]] Canadian dollars. It may be terminated by mutual written consent of the parties.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Confidentiality\"><\/span>Clause: Confidentiality<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The parties agree to keep strictly confidential all information obtained during the negotiation and execution of the present contract.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Protection_of_personal_information\"><\/span>Clause: Protection of personal information<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The parties shall comply with PIPEDA or Quebec&#8217;s Bill 25 regarding the collection, use and disclosure of personal information.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Liability_and_Warranties\"><\/span>Clause: Liability and Warranties<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The GRANTOR warrants that it is the legal and lawful owner of the shares and that they are free of any encumbrance. No other warranties are given.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Force_majeure\"><\/span>Clause: Force majeure<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Neither party shall be held liable in the event of force majeure preventing the performance of its obligations.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"Clause_Applicable_law_and_jurisdiction\"><\/span>Clause: Applicable law and jurisdiction<span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>This contract shall be governed by the laws of the province of [[Applicable Province]] and the federal laws of Canada applicable therein.
