Background and purpose of the document

This document is a model of general terms and conditions of sale (GTCS) for the provision of online services to individuals in Canada. It is intended to govern the contractual relationship between the service provider and the customer.

Definitions

For the purposes of this document, the following terms have the meanings assigned to them below:

• CLIENT: Any natural person contracting the services provided online by the PROVIDER.

Main clauses

Obligation of the Parties

Protection of personal information (PIPEDA / Bill 25 in Quebec)

The SERVICE SUPPLIER undertakes to comply with the provisions of the Personal Information Protection and Electronic Documents Act (PIPEDA) for customers outside Quebec, and Bill 25 for Quebec customers.

Liability and warranties

The PROVIDER warrants that the SERVICES will be provided with due care and skill. The SERVICE SUPPLIER’s liability is limited to direct damage caused by gross negligence or wilful misconduct.

Force majeure

Neither party shall be liable for failure to perform its contractual obligations in the event of force majeure, as defined by applicable Canadian law.

Applicable law and jurisdiction

This contract shall be governed by the laws of the Province of [[Name of Province]] and the federal laws of Canada applicable therein. Any dispute shall be submitted to the jurisdiction of the competent courts of [[City]].

Miscellaneous
