Background and purpose of the document

Liability and warranties

The PROVIDER warrants that the SERVICES will be provided with due care and skill. The SERVICE SUPPLIER’s liability is limited to direct damage caused by gross negligence or wilful misconduct.

Force majeure

Neither party shall be liable for failure to perform its contractual obligations in the event of force majeure, as defined by applicable Canadian law.

Applicable law and jurisdiction

This contract shall be governed by the laws of the Province of [[Name of Province]] and the federal laws of Canada applicable therein. Any dispute shall be submitted to the jurisdiction of the competent courts of [[City]].

Miscellaneous
